SECTION 4 - VALUATION, TAXATION & PAYMENT PROCESSING

All product valuations, promotional discounts, and shipping fees are subject to adjustment without advance warning. SECTION 6 - INTELLECTUAL PROPERTY & TRADEMARK RIGHTS

All digital architecture, product photography, written descriptions, visual branding, logos, audio-visual clips, and structural page designs displayed within this storefront remain the exclusive intellectual property of Zephtuft™, our affiliates, or our licensed content creators, safeguarded under United States and international copyright, trademark, and trade dress regulations.

This Agreement grants you a limited, revocable, non-exclusive license to access our storefront strictly for personal, non-commercial shopping purposes. We operate under no obligation to provide financial compensation for user ideas, maintain the confidentiality of general feedback, or reply individually to every submission. We reserve the right to remove any review or comment that we deem defamatory, obscene, infringing on third-party intellectual property, or contrary to the positive values of our brand community.

SECTION 12 - TYPOGRAPHICAL ERRORS & CATALOG MODIFICATIONS

Despite our quality control measures, occasional typographical errors, data omissions, or pricing inaccuracies may appear within our catalog descriptions or shipping tables. We retain the unilateral right to rectify any administrative errors, update product specifications, or cancel affected orders—even after an initial order confirmation has been dispatched—without incurring legal or financial penalties.

SECTION 16 - LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE JURISPRUDENTIAL LAW, IN NO EVENT SHALL ZEPHTUFT™, ITS DIRECTORS, EMPLOYEES, TEXTILE ARTISANS, LOGISTICS PARTNERS, OR HOSTING PROVIDERS BE HELD LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES—INCLUDING BUT NOT LIMITED TO LOST FINANCIAL PROFITS, DATA CORRUPTION, OR REPLACEMENT ACQUISITION COSTS—ARISING FROM YOUR BROWSING OF OUR STOREFRONT, THE PHYSICAL UTILIZATION OF OUR FLOOR COVERINGS, OR ANY OTHER CLAIM RELATED TO OUR SERVICES, EVEN IF WE HAVE BEEN PREVIOUSLY ADVISED OF THE POTENTIAL FOR SUCH DAMAGES.

SECTION 17 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Zephtuft™, our corporate subsidiaries, officers, employees, and legal agents against any third-party claims, lawsuits, legal penalties, or financial demands (including reasonable attorneys' fees) resulting directly or indirectly from your breach of this Agreement, your improper physical use of our products, or your infringement upon the legal rights of any third party.

SECTION 18 - SEVERABILITY & CONTRACTUAL SURVIVAL

If any specific clause or provision within this Agreement is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that specific clause shall be enforced to the maximum extent permissible by law, and the unenforceable portion shall be deemed severed from this document. Such a ruling will not invalidate or impair the legal enforceability of the remaining operational sections of this Agreement.

SECTION 19 - NON-WAIVER & ENTIRE AGREEMENT

The failure of Zephtuft™ to actively enforce any right or clause within these Terms shall not be construed as a legal waiver of that right or provision. This document, combined with our published store policies, constitutes the complete and exclusive agreement between you and Zephtuft™, superseding all prior oral or written negotiations, communications, or draft agreements. Any contractual ambiguities shall not be interpreted automatically against the drafting party.

SECTION 20 - CONTRACTUAL ASSIGNMENT

You may not delegate, assign, or transfer your rights or obligations under this Agreement to any third party without our express written approval. We reserve the unrestricted right to transfer, assign, or delegate our operational rights and responsibilities under these Terms to a corporate successor or affiliate without requiring advance notification or consumer consent.

SECTION 21 - GOVERNING LAW & JURISDICTION

This Agreement, alongside any separate operational transactions executed through our storefront, shall be interpreted, governed, and construed strictly in accordance with the laws of the State of California, without regard to legal conflict-of-law principles. Any litigation, dispute, or legal claim arising from your relationship with Zephtuft™ shall be resolved exclusively within the state or federal courts located within Los Angeles County, California, and you hereby submit to the personal jurisdiction of such legal venues.
